Terms of Service

Welcome to the PawSnap Artist Co-Creation Program (“Program”). These Terms of Service (“Terms”) govern your participation in our Program where artists create and submit unique art styles for pet portraits.

By submitting an application to join the Program, you agree to be bound by these Terms. If you do not agree, please do not submit an application.

• “Style Submission”: Your unique prompt, sample images, and style description submitted to the Program.
• “Royalties”: The percentage of revenue you earn when customers purchase products featuring your style.
• “Content”: All materials you submit, including prompts, images, descriptions, and profile information.
• “Generated Works”: AI-generated images created using your style combined with customer-uploaded pet photos.

3.1 Your Ownership

You retain full ownership of your original prompts and creative methodology. Your style submission remains your intellectual property.

3.2 License Grant to PawSnap

By joining the Program, you grant PawSnap a non-exclusive, worldwide, royalty-bearing license to:

• Use your style to generate pet portraits for customers
• Display your style name and sample images in our catalog
• Promote your style in marketing materials
• Create derivative works (Generated Works) using your style

3.3 Generated Works

Generated Works created from customer uploads using your style are separate works. Customers receive a license to use their Generated Works for personal use.

4.1 Commission Structure

Artists earn between 65% to 85% of the profit margin on each sale featuring their style. The exact percentage depends on your tier level in the Program.

4.2 Payment Terms

• Payment Method: PayPal
• Payment Schedule: Monthly (by the 15th of each month)
• Minimum Threshold: $25 USD
• Currency: USD

Earnings below the minimum threshold will be carried forward to the next payment period.

4.3 Earning Example

With just 10 sales per month at an average order value of $49.99, you could earn approximately $320+ per month.

As a participant in the Program, you agree to:

• Originality: All submissions must be your original work. You warrant that your style does not infringe on any third-party intellectual property rights.
• No Plagiarism: Your style must not copy or closely imitate existing artists' work without permission.
• Accurate Information: You will provide accurate contact and payment information and update it as necessary.
• Social Media: Featured artists agree to follow @pawsnap.shop on Instagram and may be asked to participate in promotional activities.
• Quality Standards: Your sample images must accurately represent the style and meet our quality guidelines.

PawSnap reserves the right to:

• Accept or reject any style submission at our sole discretion
• Remove styles that violate these Terms or receive customer complaints
• Modify style pricing and commission structures with 30 days notice
• Use your name, likeness, and style for marketing and promotional purposes
• Modify or discontinue the Program at any time

7.1 Voluntary Termination

Either party may terminate participation in the Program with 30 days written notice to admin@pawsnap.shop.

7.2 Termination for Cause

PawSnap may terminate your participation immediately if you violate these Terms, engage in fraudulent activity, or receive multiple customer complaints.

7.3 Effect of Termination

• Your style will be removed from the catalog within 30 days
• Outstanding royalties will be paid within 60 days
• Existing orders using your style will be fulfilled
• The license granted to PawSnap terminates except for existing orders

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAWSNAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE PROGRAM.

Our total liability shall not exceed the total royalties paid to you in the twelve (12) months preceding any claim.

You agree to indemnify and hold harmless PawSnap from any claims, damages, or expenses arising from your Content, your breach of these Terms, or your violation of any third-party rights.

We may update these Terms from time to time. We will notify you of material changes via email or through the Program dashboard. Continued participation after changes constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.
